## 3. HOW THE SAFEDEAL ESCROW PROCESS WORKS

**3.1 Transaction Initiation.** A Buyer and Seller agree to use SafeDeal for an automotive transaction. The transaction must originate from or be facilitated through AutoDealSpot.com. Either party may initiate the escrow process by creating a Transaction on the Platform.

**3.2 Transaction Terms.** The Buyer and Seller must jointly agree upon and input the following information into the Platform:
- A complete and accurate description of the Vehicle, including VIN, make, model, year, mileage, condition, and any known defects or damage;
- The Purchase Price;
- The Inspection Period duration (in days);
- Delivery method and location;
- The identity of the party responsible for escrow fees; and
- Any other terms or conditions specific to the Transaction.

Once both parties have reviewed and approved the Transaction terms, the Transaction is locked and cannot be modified without the express consent of both parties or the intervention of SafeDeal as provided in these Terms.

**3.3 Buyer Deposits Funds.** The Buyer shall deposit the Transaction Funds into the Escrow Account using a payment method approved by SafeDeal. SafeDeal will verify the receipt of funds. The Transaction Funds shall be held in the Escrow Account and shall not be released to the Seller until all conditions for Release have been satisfied.

**3.4 Seller Delivery.** Upon SafeDeal's confirmation that the Transaction Funds have been received and secured in the Escrow Account, the Seller shall proceed with the delivery of the Vehicle and the transfer of clear title as specified in the Transaction Agreement. The Seller must provide SafeDeal with proof of delivery, including tracking information (if shipped), or arrange for a mutually agreeable delivery confirmation.

**3.5 Buyer Inspection and Acceptance.** Upon receipt of the Vehicle, the Buyer shall have the Inspection Period specified in the Transaction Agreement to inspect the Vehicle. The Buyer must notify SafeDeal via the Platform of their decision to either:
- **Accept** the Vehicle, in which case SafeDeal will initiate the Release of Transaction Funds to the Seller; or
- **Reject** the Vehicle, specifying the grounds for rejection. Valid grounds for rejection include, but are not limited to: the Vehicle is not as described in the Transaction Agreement; the Vehicle has undisclosed material defects; the title is not clear or transferable; or the Vehicle was not delivered within the agreed timeframe.

**3.6 Release of Funds.** Upon the Buyer's acceptance of the Vehicle, or upon the expiration of the Inspection Period without a rejection notification from the Buyer, SafeDeal shall release the Transaction Funds to the Seller, minus any applicable fees and amounts owed to lienholders or third parties as specified in the Transaction Agreement. Release shall occur within two (2) to five (5) business days following acceptance or expiration of the Inspection Period.

**3.7 Transaction Completion.** A Transaction is deemed complete upon the Release of Transaction Funds to the Seller and the successful transfer of the Vehicle and title to the Buyer.

---

## 4. ELIGIBLE TRANSACTIONS AND VEHICLE REQUIREMENTS

**4.1 Automotive Only.** SafeDeal provides escrow services exclusively for transactions involving motor vehicles, including but not limited to: passenger cars, trucks, SUVs, motorcycles, boats, and recreational vehicles. SafeDeal does not provide escrow services for non-automotive goods, real estate, services, or any other category of transaction.

**4.2 AutoDealSpot Origination.** Transactions using SafeDeal must originate from or be facilitated through AutoDealSpot.com. SafeDeal reserves the right to reject or terminate any Transaction that it reasonably believes did not originate from AutoDealSpot or is not a genuine automotive transaction.

**4.3 Vehicle Documentation.** The Seller represents and warrants that:
- The Seller has clear and marketable title to the Vehicle;
- The Vehicle is free of all liens, encumbrances, and security interests, except as expressly disclosed in the Transaction Agreement;
- All odometer readings provided are accurate to the best of the Seller's knowledge;
- The Vehicle description is complete and accurate and does not omit any material information;
- The Vehicle complies with all applicable laws and regulations; and
- The Seller has the legal right to sell the Vehicle.

**4.4 Lienholder Payoff.** If the Vehicle is subject to a lien or loan, the Seller must disclose this in the Transaction Agreement. SafeDeal may, at its discretion, facilitate the payoff of the lienholder from the Transaction Funds prior to releasing the remaining balance to the Seller. The Buyer acknowledges that SafeDeal is not responsible for verifying the accuracy of lien payoff amounts and that this service is provided as a convenience only.

---

## 5. FEES AND PAYMENT

**5.1 Escrow Fees.** SafeDeal charges a fee for the Services ("Escrow Fee"). The Escrow Fee is calculated based on the Purchase Price and the applicable fee schedule, which is published on the Platform and may be updated from time to time. The current fee schedule is available at https://safedeal.autodealspot.com/fees.

**5.2 Allocation of Fees.** The Buyer and Seller shall specify in the Transaction Agreement who is responsible for paying the Escrow Fee. The Escrow Fee may be paid by the Buyer, the Seller, or split equally between the parties. If no allocation is specified, the default shall be that the Buyer and Seller each pay fifty percent (50%) of the Escrow Fee.

**5.3 Payment Method.** The Buyer shall deposit the Transaction Funds, including the Purchase Price and any applicable Escrow Fees allocated to the Buyer, into the Escrow Account using a payment method approved by SafeDeal. Acceptable payment methods may include bank wire transfer, ACH transfer, or other methods as designated on the Platform. SafeDeal does not accept cash, cryptocurrency, or money orders unless expressly stated otherwise.

**5.4 Fee Deduction.** Any Escrow Fees allocated to the Seller shall be deducted from the Transaction Funds prior to Release to the Seller. The Seller authorizes SafeDeal to make such deductions.

**5.5 Taxes.** Each party is responsible for their own tax obligations arising from the Transaction. SafeDeal does not provide tax advice and makes no representation regarding the tax consequences of any Transaction. The Buyer may be responsible for sales tax, use tax, and registration fees as required by applicable law.

**5.6 No Interest.** Transaction Funds held in the Escrow Account shall not accrue interest for the benefit of either party. Any interest earned on Escrow Account funds shall be retained by SafeDeal or its financial institution partner as compensation for administering the escrow.

---

## 6. INSPECTION PERIOD AND VEHICLE ACCEPTANCE

**6.1 Inspection Period.** The Inspection Period shall be a minimum of three (3) business days and a maximum of fourteen (14) calendar days, as specified in the Transaction Agreement. The Inspection Period begins on the date the Buyer receives physical possession of the Vehicle, as evidenced by delivery confirmation or the Buyer's acknowledgment of receipt on the Platform.

**6.2 Buyer's Rights During Inspection.** During the Inspection Period, the Buyer shall have the right to:
- Physically inspect the Vehicle;
- Have the Vehicle inspected by a qualified mechanic or third-party inspector at the Buyer's expense;
- Test drive the Vehicle (subject to insurance and legal requirements);
- Verify the Vehicle's title and documentation; and
- Verify that the Vehicle conforms to the description in the Transaction Agreement.

**6.3 Acceptance.** If the Buyer is satisfied with the Vehicle, the Buyer shall notify SafeDeal through the Platform of their acceptance. Such notification shall constitute the Buyer's irrevocable instruction to SafeDeal to release the Transaction Funds to the Seller, subject to the terms of these Terms.

**6.4 Rejection.** If the Buyer determines that the Vehicle does not conform to the Transaction Agreement, the Buyer may reject the Vehicle by notifying SafeDeal through the Platform within the Inspection Period. The rejection notice must specify in reasonable detail the grounds for rejection. Upon receipt of a valid rejection notice, SafeDeal shall:
- Notify the Seller of the rejection and the stated grounds;
- Place the Transaction in Dispute status; and
- Retain the Transaction Funds in the Escrow Account pending resolution of the Dispute.

**6.5 Deemed Acceptance.** If the Buyer fails to provide SafeDeal with either an acceptance or rejection notification within the Inspection Period, the Buyer shall be deemed to have accepted the Vehicle, and SafeDeal shall release the Transaction Funds to the Seller.

**6.6 Return of Vehicle Upon Rejection.** If the Buyer validly rejects the Vehicle and the Dispute is resolved in the Buyer's favor, the Buyer shall return the Vehicle to the Seller at the Seller's expense, unless otherwise agreed by the parties or ordered by SafeDeal. The Vehicle must be returned in the same condition as received, subject to reasonable wear and tear during the Inspection Period.

## 7. DISPUTE RESOLUTION

- Acknowledge receipt of the Dispute within one (1) business day;
- Provide the other party with a copy of the Dispute notice and an opportunity to respond within five (5) business days;
- Review all information and documentation submitted by both parties;
- Make a determination based on the Transaction Agreement, these Terms, and applicable law; and
- Notify both parties of its determination within ten (10) business days of receiving the responding party's statement.

**7.3 SafeDeal's Determination.** SafeDeal's determination shall be final and binding on both parties, subject to Section 13 (Governing Law and Dispute Resolution) below. SafeDeal may, in its sole discretion:
- Release the Transaction Funds to the Seller (in whole or in part);
- Return the Transaction Funds to the Buyer (in whole or in part);
- Divide the Transaction Funds between the parties;
- Require the return of the Vehicle and/or title;

**7.4 Cooperation.** Both parties agree to cooperate fully with SafeDeal's dispute resolution process, including providing any requested documentation, responding to communications within the specified timeframes, and taking any actions reasonably requested by SafeDeal to resolve the Dispute.

**7.5 No Liability for Dispute Determinations.** SafeDeal shall not be liable to either party for any loss or damage arising from its determination of a Dispute, provided that SafeDeal acted in good faith and in accordance with these Terms.

**7.6 Alternative Remedies.** Nothing in this Section shall prevent either party from pursuing legal remedies as provided in Section 13, provided that any such legal action shall be stayed pending exhaustion of SafeDeal's internal dispute resolution process, unless immediate injunctive relief is necessary to prevent irreparable harm.

## 8. CANCELLATION AND REFUNDS

**8.1 Cancellation by Mutual Agreement.** The Buyer and Seller may mutually agree to cancel a Transaction at any time prior to the Release of Transaction Funds. Upon such mutual cancellation, SafeDeal shall return the Transaction Funds to the Buyer, minus any applicable Escrow Fees and transaction costs that have been incurred.

**8.2 Cancellation by Buyer.** The Buyer may cancel a Transaction prior to the Seller's delivery of the Vehicle, but such cancellation may result in the forfeiture of a portion of the Transaction Funds as specified in the Transaction Agreement or as determined by SafeDeal in its discretion.

**8.3 Cancellation by Seller.** The Seller may cancel a Transaction prior to delivery of the Vehicle. In such case, SafeDeal shall return the full Transaction Funds to the Buyer, and the Seller shall be responsible for any Escrow Fees and transaction costs incurred.

**8.4 Cancellation After Delivery.** After the Seller has delivered the Vehicle, cancellation may only occur through the Dispute resolution process or by mutual agreement of the parties, subject to SafeDeal's approval.

**8.5 Non-Delivery.** If the Seller fails to deliver the Vehicle within the timeframe specified in the Transaction Agreement, the Buyer may request cancellation and a full refund of the Transaction Funds. SafeDeal shall process such refund, minus any applicable fees, unless the Seller demonstrates good cause for the delay and the Buyer agrees to an extension.

**8.6 Refund Timing.** Any refund due to the Buyer shall be processed within five (5) to ten (10) business days following SafeDeal's approval of the refund. Refunds shall be made using the same payment method used by the Buyer to fund the Escrow Account, unless otherwise agreed.
